OpenAI is undergoing a major organizational overhaul as CEO Sam Altman reveals plans to transition its for-profit division into a Public Benefit Corporation (PBC). The move aligns with OpenAI’s long-term mission to develop artificial general intelligence (AGI) that serves humanity as a whole. 

Restructuring to Reflect AGI-First Vision 

The shift brings OpenAI’s structure closer to models adopted by AI peers like Anthropic and xAI. Replacing the existing capped-profit framework, the new PBC format will adopt a conventional equity model while remaining under the full control of OpenAI’s nonprofit parent, OpenAI Inc. 

This nonprofit will hold a significant stake in the PBC, determined with the help of independent advisors. Revenue from this stake will support AI initiatives aimed at global social impact. 

Expanding Access to AI at Scale 

Altman said the restructuring is driven in part by growing global demand for tools like ChatGPT. “We simply cannot meet the world’s appetite for AI,” he noted. “Our goal is to build a brain for the world—one that anyone can use with ease and flexibility.” 

The PBC structure will help scale AI capabilities faster while advancing Altman’s vision for “democratic AI”—technology that is safe, broadly accessible, and aligned with human values. 

Nonprofit Division to Focus on AI for Public Good 

OpenAI Inc. will also launch a new commission to explore high-impact AI applications in sectors such as healthcare, education, science, and public infrastructure. This effort is part of OpenAI’s response to growing civic and regulatory engagement, aiming to ensure equitable deployment of AI systems worldwide. 

Altman emphasized, “We want our nonprofit to be the most effective organization in history at using AI for the greatest societal outcomes.” 

A long-Term Strategy to Safeguard AGI for Humanity 

While the structure is evolving, OpenAI’s core mission remains unchanged: to build AGI that benefits everyone. Altman described the reorganization as a foundational step in that journey. “Creating AGI is our contribution to the future of human progress,” he said. “We’re excited to see what contributions others will add.”
